This exclusive agreement by and between you (“the Collaborator”) and Amarante (“the Artist”) and Indie Drop Records (“the Record Label”) is for the participation in providing the your vocals (“the Sound Recording”) for “the Artist” song Galaxies (“the Master Composition”).

1. Grant of Rights
   Upon submission of “the Sound Recording”; “the Collaborator” gives up One Hundred Percent (100%) of their copyrights of the “the Sound Recording” and transfers One Hundred Percent (100%) ownership of “the Sound Recording” to “the Record Label ” and “the Artist” to be embodied on “the Master Composition”
   
   
2. Worldwide Exclusivity
   “the Record Label” and “the Artist” shall release “the Sound Recording” embodied in “the Composition” exclusively for world wide distribution and beyond our world including but not limited to new emerging technologies that are currently available or future technologies not yet in existence.
   
   
3. Term
   The duration for “the Sound Recording” embodied on “the Composition” to be held in world wide distribution shall be for an indefinite period. Under these indefinite terms, “the Record Label” and “the Artist” shall govern the duration of “the Sound Recording” embodied on “the Composition”.
   
   
4. Royalties
   “the Collaborator” shall not be entitled to any royalties.
   
   
5. Administration
   “the Collaborator” shall not have the right to administer “the Master Composition” nor any portion of “the Sound Recording”.
   
   
6. Exploitation – Use of name and likeness and “the Sound Recording”
   “the Record Label” and “the Artist” shall have full rights to exploit “the Sound Recording” submitted by “the Collaborator” and “the Collaborator” shall have no say so in how “the Master Composition” containing the “the Sound Recording” is exploited. To aid in the exploitation of “the Master Composition”, “the Record Label” and “the Artist” may use your Name and Likeness to help promote “the Master Composition” for maximum exposure.
    
7. Right of Refusal
   “the Collaborator” shall have no right of refusal including but not limited to moral rights.
   
   
8. Indemnity
   “the Collaborator” agrees to indemnify and hold harmless “the Record Label” and “the Artist”, their respective affiliates, officers, agents, employees, and permitted successors and assigns against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind whatsoever, which result from the activity.
   
   
9. Confidentiality
   “The phrases and circumstances of this Agreement are completely confidential between the parties and shall not be disclosed to anybody else. Any disclosure in violation shall be deemed a breach of this Agreement.”
   
   
10. Jurisdiction
    “The parties submit all their disputes arising out of or in connection with this Agreement to the exclusive jurisdiction of the Courts of California“.
    
    
11. Termination
    The terms of this agreement may be terminated at any time by “the Record Label” and “the Artist” without any commitment or obligation to include “the Sound Recording” submitted by “the Collaborator” without prior notice.
    
    
12. Representations and Warranties
    “the Collaborator” represents and warrants that: (a) it is authorized, empowered and able to enter into and fully perform its obligations under this Agreement; (b) neither this Agreement nor the fulfillment thereof by any party infringes upon the rights of any other person or entity; (c) it has not and will not do anything that impairs the rights under this Agreement, nor will it permit any other person or entity to do so; and (d) “the Collaborator” is of legal age to enter into this agreement or has the permission of their parent and guardian if under the legal age in your country but thirteen (13) years or older.
    
    
13. Legal Representation
    “the Collaborator”, by their signature hereto, confirms that “the Record Label” and “the Artist” has advised “the Collaborator” to take independent legal counsel, from a lawyer specializing generally in the music business agreements, on the terms and conditions of this Agreement and on the obligations being undertaken by “the Collaborator” in executing the Agreement.
    
    
14. Any portion of the terms of this agreement deemed unenforceable by the State of California in the United States shall be removed and or changed to conform with the laws in the State of California. If such changes are to be made, all parties shall be notified in a timely manner.
